These Terms of Service ("Terms") govern your use of the Practice Flow website at thepracticeflow.com (the "Site") and any services you engage from Practice Flow ("we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms.

If you do not agree, please do not use the Site or engage our services.

1. About Practice Flow

Practice Flow provides AI workflow training and consulting services to private healthcare practices. Our services include workshops, consulting engagements, and educational resources designed to help practice teams adopt AI tools effectively and responsibly.

We are based in California and operate primarily in Southern California, with virtual services available nationally.

2. Use of the Site

You may use this Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable federal, state, or local law
  • Attempt to gain unauthorized access to any part of the Site or its underlying systems
  • Transmit any harmful, offensive, or disruptive content via the Site
  • Use automated tools (bots, scrapers, crawlers) to extract content from the Site without our written permission
  • Impersonate Practice Flow or misrepresent your affiliation with us

We reserve the right to restrict or terminate access to the Site at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to us, other users, or third parties.

3. Services and Engagements

Scope of Services

The specific scope, deliverables, timeline, and fees for any consulting or training engagement will be defined in a separate written agreement (proposal, statement of work, or engagement letter). These Terms apply alongside that agreement but do not replace it.

Not Legal, Medical, or Compliance Advice

Practice Flow provides workflow training and AI adoption consulting. Our services are not a substitute for legal advice, medical advice, HIPAA compliance counsel, or regulatory guidance. We help your team use AI tools effectively — we are not your compliance officer, attorney, or healthcare advisor.

HIPAA and Data Handling

We design every engagement with HIPAA awareness as a baseline. We work exclusively with AI tools that operate under Business Associate Agreements (BAAs) where applicable. We do not access, store, or process your patient records or Protected Health Information (PHI) unless explicitly agreed to in writing and covered by an appropriate BAA.

If an engagement requires access to PHI or systems containing PHI, we will execute a Business Associate Agreement before that work begins.

4. Intellectual Property

Our Content

All content on this Site — including text, graphics, logos, downloadable resources, workshop materials, templates, and training frameworks — is the property of Practice Flow and is protected by applicable copyright and intellectual property law.

Resources and Downloads

Free resources (such as the AI Time Audit guide) are licensed for your personal, internal business use only. You may not resell, redistribute, or present them as your own work.

Work Product from Engagements

Ownership of deliverables created during a paid engagement will be specified in your written service agreement. Unless otherwise agreed, custom materials created specifically for your practice are licensed to you for internal use following payment in full.

5. Payments and Cancellations

Payment terms and cancellation policies for specific services are set out in your individual engagement agreement. For workshop registrations and other products purchased directly:

  • Payment is required at the time of booking unless otherwise stated
  • Cancellations more than 5 business days before a scheduled session are eligible for a full refund
  • Cancellations within 5 business days are non-refundable but may be rescheduled at our discretion
  • No-shows forfeit the full session fee

6. Disclaimers

The Site and its content are provided "as is" and "as available." We make no warranties regarding the accuracy, completeness, or fitness for a particular purpose of any content on the Site.

Results are not guaranteed.

The outcomes described on this Site reflect our general experience and are provided for illustrative purposes only. Your results will depend on your practice's specific circumstances and team engagement.

Our services often involve training on third-party AI platforms (e.g., Microsoft Copilot, Google Workspace AI). We are not affiliated with, endorsed by, or responsible for those platforms.

7. Limitation of Liability

To the fullest extent permitted by law, Practice Flow shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Site or our services.

Our total liability to you for any claim shall not exceed the amount you paid us in the 90 days preceding the claim.

8. Third-Party Links

The Site may contain links to third-party websites. These links are provided for convenience only. We do not endorse and are not responsible for the content or privacy practices of any third-party sites.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of California. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California.

Before initiating formal legal proceedings, we ask that you contact us directly to attempt to resolve the issue informally.
